Terms and Conditions
These Terms and Conditions ("Terms") govern the provision of services by Golden Perspective Marketing Agency ("Golden Perspective," "we," "us," or "our") to you ("Client," "you," or "your") and constitute a legally binding agreement between both parties. By engaging our services, you agree to be bound by these Terms.
1. Services Offered
Golden Perspective offers the following services:
Monthly marketing services
Ad campaign management
Website design and development
SEO services
Specific software solutions tailored to your business needs
2. Service Agreement
2.1. Upon engagement, both parties agree to the specific services to be provided, as outlined in the agreed-upon proposal or contract.
2.2. Any modifications to the scope of services must be agreed upon in writing by both parties.
3. Payment Terms
3.1. Client agrees to pay Golden Perspective the fees outlined in the proposal or contract, in the manner and schedule specified therein.
3.2. Payments are due on the dates specified in the invoice provided by Golden Perspective.
3.3. Late payments may result in suspension of services or termination of the agreement.
4. Intellectual Property
4.1. Golden Perspective retains ownership of all intellectual property rights related to any work or materials created or provided as part of the services.
4.2. Client is granted a non-exclusive, non-transferable license to use any deliverables solely for its intended purpose.
5. Confidentiality
5.1. Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement.
5.2. Confidential information includes but is not limited to business strategies, financial information, and trade secrets.
6. Termination
6.1. Termination of the agreement shall be governed by the specific termination clauses outlined in the contract between Golden Perspective and the Client.
6.2. Either party may terminate the agreement in accordance with the termination provisions specified in the contract. If no specific termination provisions are outlined, a minimum notice period of 30 days shall apply.
6.3. In the event of termination, Client shall pay Golden Perspective for all services provided up to the date of termination in accordance with the terms specified in the contract.
7. Limitation of Liability
7.1. Golden Perspective shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the provision of services, regardless of the cause of action.
7.2. In no event shall Golden Perspective's total liability exceed the fees paid by Client for the services rendered.
8. Governing Law
8.1. These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
9. Entire Agreement
9.1. These Terms constitute the entire agreement between Golden Perspective and Client and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
10. Amendment
10.1. These Terms may only be amended in writing signed by both parties.
